By accessing or using the Spate POS application, website, and related services (collectively, the "Service") provided by Spate Software Engineering (hereafter referred to as "Spate SE", "Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service.

2. Description of Service

Spate POS is a cloud-based point-of-sale and business management software solution. It includes features for transaction processing, inventory management, customer relationship management, and analytics reporting. We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice to you.

3. User Responsibilities & Accounts

  • Account Security: You are responsible for safeguarding the password, PIN, and biometric access configurations that you use to access the Service and for any activities or actions under your password.
  • Data Accuracy: You agree that all information you provide to register with this Service or otherwise is correct, current, and complete.
  • Compliance with Laws: You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations, including those governing taxation and data privacy.

4. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Spate SE, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5. Limitation of Liability

In no event will Spate SE, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, or loss of data.
